Infinity Terms & Conditions

Welcome to the Infinity software platform (“Platform”), owned and managed by Infinity Collective LLC, a limited liability company incorporated under the laws of the State of New Jersey (hereinafter referred to as “Infinity,” “We,” or “Us”).

General Terms

Infinity is a third-party software platform designed to enhance and automate various processes for users of eBay and other integrated e-commerce platforms.

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must refrain from using the Platform or services provided by Infinity.

These Terms constitute a legally binding agreement. Please read them carefully before accepting and using the Platform or services. We encourage you to review these Terms periodically to stay informed of any updates or changes, which may occur without prior notice.

By agreeing to these Terms, you confirm that you are legally eligible to do so and are at least 18 years old or the legally required age in your jurisdiction. If you are under the required age, you must refrain from using the Platform or its services.

Service Tiers

Infinity offers three service tiers: (a) “Platform Services,” which provide access to the Infinity software platform for self-directed e-commerce management; (b) “Agency Services,” under which Infinity manages certain aspects of your e-commerce operations on a profit-share basis as described in the Agency Services sections of these Terms; and (c) “Agency Platform Services,” under which an agency owner uses Infinity’s software platform to operate eBay accounts on behalf of third-party clients (“Managed Users”), as described in the Agency Platform Services sections of these Terms. The general provisions of these Terms apply to all users regardless of service tier. Where Agency Services or Agency Platform Services provisions are more specific than general provisions, the tier-specific provisions govern for users enrolled in that tier.

Third-Party Account Requirements

Regardless of service tier, all users must independently own and maintain the following accounts. Infinity is not responsible for any costs, fees, or consequences associated with these third-party accounts, and failure to maintain them in good standing may affect Infinity’s ability to provide services.

eBay Seller Account and Store Subscription. You must have your own active eBay seller account. To use the Infinity platform effectively, you are also required to maintain an eBay Store subscription. eBay Store subscription fees are paid directly to eBay and are entirely your responsibility. eBay currently offers the following subscription tiers (pricing subject to change by eBay):

  • Starter: $4.95/mo (annual plan) or $7.95/mo (monthly)
  • Basic: $21.95/mo (annual plan) or $27.95/mo (monthly)
  • Premium: $59.95/mo (annual plan) or $74.95/mo (monthly)
  • Anchor: $299.95/mo (annual plan) or $349.95/mo (monthly)
  • Enterprise: $2,999.95/mo (annual plan)

The appropriate eBay Store tier depends on your selling volume and catalog size. Infinity does not recommend a specific tier and makes no representations about which tier is suitable for your business. eBay may impose early termination fees if you change or cancel an annual plan mid-term; those fees are your sole responsibility.

Amazon Prime Membership.You must maintain an active Amazon Prime membership for the duration of your use of Infinity’s services. Amazon Prime is required to enable order fulfillment through Amazon at the pricing and shipping speeds necessary for the dropshipping model. Amazon Prime membership fees are paid directly to Amazon and are entirely your responsibility. Infinity has no liability for any changes Amazon makes to Prime pricing, eligibility, or benefits.

For Agency Platform Services users: the Agency Owner is responsible for ensuring that each Managed User independently owns and maintains their own eBay seller account, eBay Store subscription, and Amazon Prime membership. The Agency may not share a single eBay or Amazon account across multiple Managed Users. Each Managed User’s accounts must be registered in that Managed User’s own name and subject to that Managed User’s own agreements with eBay and Amazon.

Access Permissions and Account Integration

Infinity is not affiliated with or endorsed by eBay or any other third-party platforms it integrates with. Your use of Infinity, along with any related services or integrations, is entirely at your own risk.

By accepting these Terms, you authorize Infinity to access, interact with, and operate within your eBay account and other integrated accounts (collectively, “Integrated Accounts”). This includes actions such as:

  • Updating or creating product listings.
  • Adjusting prices, quantities, or product details.
  • Processing orders and managing inventory.

You can revoke Infinity’s access to Integrated Accounts at any time by updating your account settings or removing the token used for integration, subject to the lock-in provisions applicable to Agency Services users as set forth in these Terms. However, Infinity is not responsible for any disruptions or consequences resulting from the revocation of access.

You acknowledge and agree that it is your responsibility to comply with the terms of service of eBay and any other third-party platforms you integrate with through Infinity. You also release Infinity and its representatives from liability for any consequences arising from violations of third-party terms caused by your actions or Infinity’s authorized operations.

Agency Services

If you enroll in Agency Services, you grant Infinity a limited authorization to operate your eBay account on your behalf for the purpose of creating and managing product listings, setting and adjusting prices, managing customer communications, processing orders, and coordinating order fulfillment through third-party sources. This authorization is non-exclusive and limited to the specific activities described in these Terms.

Infinity will use commercially reasonable efforts to operate your eBay account in a manner consistent with eBay’s policies and applicable law. However, you acknowledge that Infinity does not guarantee compliance with any third-party platform’s terms of service, and you remain solely responsible for the status and standing of your eBay account at all times.

Infinity’s Agency Services include, without limitation: product research and listing creation, listing optimization, customer service and buyer communications, order fulfillment coordination (including through Infinity’s proprietary Order Atlas software), and returns management. Infinity does not guarantee any specific level of sales, revenue, or profitability.

Agency Enrollment and Activation

Agency Services are activated when you complete the onboarding process, which requires: (a) connecting your eBay account to the Platform through the approved eBay Developer Program integration; and (b) providing your Amazon account credentials to enable order fulfillment. By completing the onboarding process, you acknowledge that you have reviewed the Agency Services provisions of these Terms and consent to be bound by them.

Your completion of the onboarding form and provision of account credentials constitutes a separate, affirmative acceptance of the Agency Services provisions in addition to your acceptance of these general Terms. By completing the onboarding process, you specifically acknowledge that you have reviewed and understand the Lock-In Period provisions, including the one (1) year minimum commitment and the liquidated damages provision for early revocation of account access.

Account Credentials and Third-Party Access

By enrolling in Agency Services, you voluntarily provide Infinity with your Amazon account credentials for the sole purpose of enabling order fulfillment through the Order Atlas software. You represent and warrant that you have the right and authority to provide these credentials and to authorize Infinity to access your Amazon account for this purpose.

Infinity will use your Amazon account credentials solely for placing orders to fulfill sales generated through your eBay account. Infinity will implement commercially reasonable security measures to protect your stored credentials but does not guarantee that unauthorized access will not occur. Infinity is not responsible for any actions taken on your Amazon account by third parties as a result of a security breach not caused by Infinity’s gross negligence.

You acknowledge that providing your Amazon account credentials to a third party and the automated use of your Amazon account for order fulfillment may violate Amazon’s terms of service. You accept all risk associated with such violation, including account suspension, restriction, or termination by Amazon. Infinity has no liability for any action taken by Amazon against your account arising from the authorized use described in these Terms.

Profit Calculation and Invoicing

“Net Profit” means, for each calendar month, the aggregate of per-order profits calculated as follows for each fulfilled order: (a) the gross sale price received from the eBay buyer, minus (b) all eBay fees, shipping credits, and marketplace deductions, minus (c) the total Amazon order cost (including product price, applicable taxes, and shipping), minus (d) any returns, chargebacks, refunds, or eBay fund holds allocated to that order. If the result for any individual order is negative, that negative amount reduces the aggregate monthly Net Profit.

Within ten (10) business days following the end of each calendar month, Infinity will provide you with an itemized invoice showing, for each fulfilled order: the eBay sale price, eBay fees deducted, Amazon order cost, and the resulting per-order profit or loss. The invoice will state the total Net Profit and the amount due to Infinity (50% of Net Profit).

You will have five (5) business days from receipt of the invoice to dispute specific line items in writing with supporting documentation. Disputes must identify the specific orders contested and the basis for each dispute. Upon request in connection with a timely dispute, Infinity will provide Amazon order confirmation documentation (including order ID, product price, and shipping cost) for each disputed order within five (5) business days. Any line items not disputed within the initial dispute period are deemed accepted and are not subject to further challenge.

Agency Payment Terms

Invoiced amounts are due and payable within seven (7) days of the invoice date. If payment is not received within fourteen (14) days of the invoice date, Infinity may, in its sole discretion, suspend all Agency Services until payment is received in full, including any accrued interest.

Any amount not paid within thirty (30) days of the invoice date will accrue interest at a rate of 1.5% per month (18% per annum), calculated from the thirty-first (31st) day after the invoice date until payment is received in full. You acknowledge that this interest provision is a reasonable estimate of Infinity’s cost of delayed payment and not a penalty.

Infinity may offset any amounts owed to you against any outstanding invoices or balances you owe to Infinity under these Terms, whether arising from Agency Services, Platform Services, or otherwise.

Reporting and Transparency

Infinity will provide Agency Services users with access to a dashboard or periodic reports showing sales activity, fulfillment status, and running profit calculations for their account. These reports are provided for informational purposes and do not constitute a final accounting. The monthly invoice described in the Profit Calculation and Invoicing section is the controlling document for payment purposes.

Returns, Chargebacks, and Adjustments

If a buyer return, chargeback, refund, or eBay fund hold occurs after an invoice has been issued or paid for the relevant period, Infinity will apply the adjustment as a deduction to the next monthly invoice. If no further invoices are expected (including upon termination), you will receive a credit or, at Infinity’s discretion, a refund for any overpayment, net of any outstanding amounts you owe to Infinity.

eBay fund holds (including but not limited to holds resulting from account restrictions, disputes, or policy enforcement actions) are deducted from Net Profit in the period in which the hold is applied. If and when held funds are released by eBay, the released amount will be included in the Net Profit calculation for the period in which the funds become available.

Lock-In Period

Upon activation of Agency Services, you commit to maintaining Infinity’s access to your Integrated Accounts for a period of one (1) year from the date of activation (the “Lock-In Period”). During the Lock-In Period, you may not revoke Infinity’s access to your eBay account, Amazon account, or any other Integrated Account, except: (a) upon termination of Agency Services by Infinity; or (b) in the event of a material breach by Infinity of its obligations under these Terms that remains uncured for thirty (30) days following written notice from you specifying the breach in reasonable detail.

If you revoke access to any Integrated Account during the Lock-In Period without authorization under this section, you will remain liable for the full amount of Infinity’s projected profit share for the remainder of the Lock-In Period, calculated as the average monthly profit share for the three (3) months preceding revocation (or the full period of Agency Services if fewer than three months), multiplied by the number of months remaining in the Lock-In Period. This amount is due within thirty (30) days of revocation and is subject to the interest provisions of these Terms.

Agency Termination and Wind-Down

After the Lock-In Period, either party may terminate Agency Services upon fourteen (14) days’ written notice to the other party. Infinity may terminate Agency Services immediately upon: (a) your failure to pay any invoice within thirty (30) days of the due date, provided that Infinity has suspended services and notified you of the delinquency at least fourteen (14) days prior to termination; (b) suspension or termination of your eBay or Amazon account by the respective platform; or (c) your material breach of these Terms that remains uncured for fourteen (14) days following written notice from Infinity specifying the breach.

Upon termination of Agency Services: (a) Infinity will cease all listing, customer service, and fulfillment activities on your accounts within a commercially reasonable period, not to exceed seven (7) days; (b) you are responsible for all pending orders and customer obligations existing at the time of termination; (c) Infinity will issue a final invoice covering the period through the effective date of termination; and (d) all outstanding invoices, including the final invoice, remain due and payable in accordance with the payment terms of these Terms.

Termination of Agency Services does not terminate your access to Platform Services, and termination of Platform Services does not automatically terminate Agency Services. Each service tier may be terminated independently, subject to the Lock-In Period provisions.

Minimum Performance Standard

During the term of Agency Services, Infinity will use commercially reasonable efforts to maintain active product listings on your eBay account and to fulfill orders in a timely manner. If your account generates no gross revenue for sixty (60) consecutive days during the Lock-In Period and such failure is not attributable to an eBay or Amazon account suspension, platform outage, force majeure event, or your breach of these Terms, you may terminate Agency Services upon written notice to Infinity without liability for the remaining Lock-In Period, provided that you give Infinity thirty (30) days’ written notice and Infinity fails to generate revenue within that notice period.

Agency Platform Services

If you enroll in Agency Platform Services, Infinity grants you (the “Agency Owner” or “Agency”) a non-exclusive, revocable, non-transferable license to use the Infinity software platform to operate eBay accounts of third-party clients (each, a “Managed User”). The Agency operates as an independent business and contracts directly with its Managed Users. Infinity provides software only; Infinity does not provide the underlying agency-client service.

Infinity has no contractual relationship with the Agency’s Managed Users in connection with the services the Agency provides. Infinity makes no representations or warranties to Managed Users, does not guarantee any outcomes for Managed Users, and is not liable to Managed Users for any aspect of the Agency’s services. All obligations to Managed Users are the Agency’s alone and must be set forth in a separate written agreement between the Agency and each Managed User.

Infinity does not guarantee any specific level of platform availability, feature set, sales, revenue, or profitability for the Agency or any Managed User. Infinity may modify, restrict, or discontinue any feature of the platform at any time, subject to the notice requirements in the Amendments to Terms section.

Per-Seat Pricing and Billing

A “Seat” means one Managed User the Agency operates through the Infinity platform. At activation, the Agency selects one of the following billing structures, which then applies uniformly to every Seat under the Agency’s account: (a) a flat monthly platform fee per Seat, or (b) a percentage share of the Agency’s profit share from each Seat. The specific fee or percentage agreed to by the Agency is recorded in the Agency’s separate Agency Platform Services Agreement with Infinity. A one-time activation fee, also recorded in that agreement, is due upon execution.

There is no minimum Seat count, no minimum revenue threshold, and no lock-in period for Agency Platform Services; the Agency may add or remove Seats month-to-month.

Infinity issues invoices on the first (1st) day of each calendar month covering the Agency’s usage for that month. If the Agency activates Agency Platform Services on a day other than the first of a month, the first invoice will be prorated to cover only the days from activation through the end of that calendar month. Each invoice itemizes the Seat count, applicable billing structure, and the resulting amount due. The Agency has five (5) business days from receipt to dispute specific line items in writing; line items not disputed within that period are deemed accepted.

Agency Platform Payment Terms

Invoiced amounts for Agency Platform Services are due and payable within seven (7) days of the invoice date. If payment is not received within fourteen (14) days of the invoice date, Infinity may, in its sole discretion, suspend the Agency’s access to the platform until payment is received in full, including any accrued interest.

Any amount not paid within thirty (30) days of the invoice date will accrue interest at a rate of 1.5% per month (18% per annum), calculated from the thirty-first (31st) day after the invoice date until payment is received in full. You acknowledge that this interest provision is a reasonable estimate of Infinity’s cost of delayed payment and not a penalty.

Infinity may offset any amounts owed to the Agency against any outstanding invoices or balances the Agency owes to Infinity under these Terms, whether arising from Agency Platform Services, Platform Services, Agency Services, or otherwise.

Agency Platform Termination

Either party may terminate Agency Platform Services upon fourteen (14) days’ written notice to the other party. Infinity may terminate Agency Platform Services immediately upon: (a) the Agency’s failure to pay any invoice within thirty (30) days of the due date; (b) the Agency’s material breach of these Terms that remains uncured for fourteen (14) days following written notice from Infinity specifying the breach; or (c) any conduct by the Agency or its Managed Users that, in Infinity’s reasonable judgment, creates legal, regulatory, reputational, or platform-relationship risk for Infinity.

Upon termination of Agency Platform Services: (a) the Agency’s access to the platform will cease within a commercially reasonable period, not to exceed seven (7) days; (b) all outstanding invoices remain due and payable; and (c) the Agency’s contracts with its Managed Users are unaffected by termination (since Infinity is not a party to those contracts), and the Agency remains solely responsible for fulfilling, transitioning, or winding down its obligations to Managed Users.

Termination of Agency Platform Services does not terminate any Platform Services or Agency Services tier the Agency is independently enrolled in, and vice versa. Each tier may be terminated independently.

Agency Platform Use at Own Risk

The Agency Owner expressly acknowledges and agrees that the Agency’s use of the Infinity platform to operate third-party accounts is entirely at the Agency’s own risk. Infinity provides the platform “as is” and “as available” with no warranties of any kind. Infinity disclaims all liability for any consequences arising from the Agency’s operation of Managed User accounts, including but not limited to:

  • Any action taken by eBay, Amazon, or any other third-party platform against any Managed User account, including suspension, restriction, termination, or fund holds.
  • Any dispute between the Agency and its Managed Users, including disputes over fees, profit splits, account access, or service quality.
  • Any claim brought by a Managed User or any third party arising from the Agency’s services, the Agency’s representations to Managed Users, or the Agency’s operational decisions.
  • Any tax liability, reporting obligation, or government assessment arising from the Agency’s revenue from Managed Users.
  • Any other operational, financial, regulatory, or legal consequence of the Agency’s business.

Infinity’s liability to the Agency under Agency Platform Services is the same as Infinity’s liability to Platform Services subscribers: limited to the amounts the Agency paid Infinity for the platform in the twelve (12) months preceding the event giving rise to the claim, as further described in the Limitation of Liability section.

Agency Compliance and Account Authority

By enrolling in Agency Platform Services, the Agency represents and warrants that:

  • The Agency has the legal authority and a written agreement with each Managed User authorizing the Agency to access and operate that Managed User’s eBay account and any other accounts connected to the platform.
  • The Agency is solely responsible for ensuring that each Managed User’s eBay, Amazon, and other third-party accounts remain in good standing under the policies of those platforms.
  • The Agency will not use the platform in any manner that creates legal, regulatory, reputational, or platform-relationship risk for Infinity, including but not limited to mass policy violations, listing of prohibited goods, or coordinated activity that could trigger enforcement against Infinity’s eBay developer credentials.

The Agency will indemnify and hold Infinity harmless from any claim brought by any Managed User against Infinity arising from the Agency’s services, in addition to the general indemnification obligations set forth in the Indemnification section of these Terms.

Independent Agency Relationship

Nothing in the Agency Platform Services tier creates a partnership, joint venture, employment relationship, or agency relationship between Infinity and the Agency. The Agency operates as an independent business and is solely responsible for its relationships with its Managed Users, its operational decisions, its tax obligations, and its compliance with all applicable laws. Infinity may issue IRS Form 1099 (or successor form) to the Agency reflecting platform-fee or revenue-share payments received from the Agency, and the Agency is solely responsible for the accurate reporting and timely payment of all taxes owed on revenue generated from its Managed Users.

Third-Party Platform Risk

You acknowledge and agree that Infinity’s ability to provide Agency Services depends entirely on continued access to eBay, Amazon, and other third-party platforms. These platforms may, at any time and without notice: change their terms of service, policies, or fee structures; restrict, suspend, or terminate your account; modify their APIs or integrations in ways that limit or prevent Infinity’s operations; or hold, delay, or withhold funds.

Infinity has no control over and assumes no responsibility for the actions, policies, or decisions of eBay, Amazon, or any other third-party platform. You bear all risk associated with your use of these platforms, including risks arising from the fulfillment model used in connection with Agency Services. Infinity is not liable for any losses, damages, or costs arising from any action taken by a third-party platform, whether or not such action is related to activities conducted by Infinity under these Terms.

Use Risks and Liabilities

Infinity operates as an automated software platform and may rely on eBay APIs or other third-party data sources, which can sometimes provide inaccurate, outdated, or incomplete information. Your use of the Platform and related services is entirely at your own risk.

Infinity does not guarantee uninterrupted access to its Platform or services. System outages, maintenance, or technical issues may occasionally cause unavailability. Infinity reserves the right to modify or discontinue any features or services without prior notice.

Infinity is not liable for any direct or indirect damages, losses, or interruptions resulting from your use of the Platform, including:

  • Account restrictions, suspensions, or terminations by eBay or other third-party platforms.
  • Data inaccuracies or errors in product listings.
  • Financial losses, including missed sales opportunities or transaction errors.

Account Registration

To use Infinity, you must create a user account (“User Account”) and provide accurate and complete information, including:

  • Name, email address, and a secure password.
  • Any additional details required for integration with third-party accounts.

You are solely responsible for maintaining the confidentiality of your account credentials. Allowing others to use your User Account constitutes a material breach of these Terms and may result in account termination.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Platform is not intended for use by individuals under the age of 18, and Infinity does not knowingly accept registrations from minors.

Payments and Refunds

Use of Infinity’s Platform Services requires payment based on the subscription plan selected during registration. Subscription fees are billed automatically on a recurring basis unless canceled. Payment terms for Agency Services are governed by the Agency Payment Terms section of these Terms.

Refunds for Platform Services payments are not guaranteed but may be granted on a case-by-case basis, subject to processing fees and applicable laws. To request a cancellation or refund, please contact our support team at admin@infinitybot.io.

Infinity is not responsible for any taxes, fees, or additional charges imposed by eBay, payment processors, or other third-party services.

Compliance with eBay Policies

By using Infinity, you confirm that you understand and agree to comply with all applicable eBay policies, including but not limited to:

  • Listing policies (e.g., prohibited items, pricing rules, etc.).
  • Seller performance standards.
  • Buyer communication guidelines.

Infinity is a third-party tool and does not provide guarantees or assurances regarding compliance with eBay’s policies. You are solely responsible for ensuring that your activities on eBay adhere to its terms and conditions.

Without limiting the foregoing, you acknowledge that eBay’s current policies restrict certain forms of dropshipping, including listing items on eBay and fulfilling orders by purchasing from another retail marketplace. You accept all risk associated with eBay’s enforcement of these policies against your account, whether or not such enforcement is related to activities conducted by Infinity under Agency Services.

User Content and Intellectual Property

By using Infinity, you may upload, submit, or share content (“User Content”). You retain ownership of your User Content but grant Infinity a non-exclusive, worldwide, royalty-free license to use, modify, and display such content as necessary to provide the Platform’s services.

You represent and warrant that your User Content:

  • Does not infringe on any intellectual property or proprietary rights.
  • Is not misleading, defamatory, or unlawful.
  • Complies with applicable laws and these Terms.

Infinity retains all rights to the Platform’s intellectual property, including its software, trademarks, and design. Unauthorized use of Infinity’s intellectual property is strictly prohibited.

Confidentiality: You agree that all proprietary information, including design, architecture, and features of the software, is confidential and will not be disclosed or used for any purpose other than as authorized by this agreement.

For Agency Services users, Infinity retains ownership of all listing templates, product research, listing optimization methodologies, and proprietary processes developed or used in connection with managing your account. Your eBay account, seller metrics, and transaction history remain your property.

Prohibited Activities

You agree not to use the Platform to:

  • Violate any applicable laws or third-party terms of service.
  • Engage in fraudulent, deceptive, or misleading practices.
  • Infringe on intellectual property rights of Infinity or others.
  • Attempt to reverse-engineer, decompile, or otherwise misuse the Platform’s software.
  • Share, resell, or sublicense access to Infinity without prior written authorization.
  • Upload or distribute harmful code, malware, or unauthorized automated scripts.

Violation of this section may result in immediate suspension or termination of your User Account.

Account Termination and Suspension

Infinity reserves the right, at its sole discretion, to suspend or terminate your User Account at any time, with or without notice, if you:

  • Violate these Terms.
  • Misuse the Platform or its integrations.
  • Fail to pay subscription fees or Agency Services invoices.
  • Pose a risk of liability or reputational harm to Infinity.

Upon termination, your right to access the Platform will immediately cease. Certain obligations, including indemnification, limitation of liability, and confidentiality, will survive termination. Termination of your User Account is subject to the Lock-In Period provisions applicable to Agency Services users.

Indemnification

You agree to indemnify and hold Infinity, its members, managers, officers, employees, and affiliates harmless from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your violation of these Terms.
  • Your use of the Platform or services.
  • Any third-party claims related to your User Content or activities on the Platform.
  • Any claim by eBay, Amazon, or any other third-party platform arising from your account status, policy violations, or the fulfillment model used in connection with Agency Services.
  • Any intellectual property, consumer protection, or product liability claim arising from listings created or orders fulfilled through Agency Services.
  • Any tax liability, reporting obligation, or government assessment arising from the profit-share arrangement under Agency Services.
  • If you are enrolled in Agency Platform Services, any claim brought by any Managed User or third party against Infinity arising from your operation of that Managed User’s account, your representations to Managed Users, or your contractual obligations to Managed Users.

Disclaimer of Warranties

The Platform and all services, including Platform Services, Agency Services, and Agency Platform Services, are provided “as is” and “as available” without warranties of any kind, whether express or implied. Infinity disclaims all warranties, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • Accuracy, reliability, or availability of the Platform.
  • That the Platform will be error-free, uninterrupted, or secure.
  • Any specific level of sales, revenue, profitability, or account standing in connection with Agency Services or Agency Platform Services.

Your use of the Platform is at your sole risk.

Limitation of Liability

To the fullest extent permitted by law, Infinity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost sales opportunities, data loss, business interruptions, reputational harm, or loss of account standing, arising from your use of the Platform, Agency Services, or Agency Platform Services, regardless of whether such damages were foreseeable or whether Infinity was advised of the possibility of such damages.

For Platform Services, Infinity’s total aggregate liability for any claim under these Terms shall not exceed the total amount you paid for access to the Platform in the twelve (12) months preceding the event giving rise to the claim.

For Agency Services, Infinity’s total aggregate liability for any claim arising from or related to Agency Services shall not exceed the total profit-share payments actually received by Infinity from your account in the three (3) months preceding the event giving rise to the claim.

For Agency Platform Services, Infinity’s total aggregate liability for any claim arising from or related to the Agency Platform Services tier shall not exceed the total fees actually received by Infinity from the Agency in the twelve (12) months preceding the event giving rise to the claim. Infinity has no liability whatsoever to any Managed User of the Agency in connection with the Agency’s services.

The limitations and exclusions in this section apply to all claims, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and shall survive termination of these Terms.

Without limiting the foregoing, Infinity shall have no liability for: (a) any action taken by eBay, Amazon, or any other third-party platform against your account or any Managed User’s account, including suspension, restriction, termination, or fund holds; (b) any loss arising from pricing errors, listing removals, or inventory discrepancies caused by third-party platform changes; (c) any fluctuation in sales volume, revenue, or profitability; (d) any loss arising from your failure to maintain your eBay or Amazon accounts in good standing; or (e) any dispute, claim, or loss between you and your Managed Users in connection with the Agency Platform Services tier.

Governing Law and Arbitration

These Terms are governed by the laws of the State of New Jersey without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be conducted in English, and the decision of the arbitrator(s) shall be final and binding.

The arbitration will take place in New Jersey, USA, unless otherwise agreed by both parties. Each party will bear its own costs for the arbitration proceedings unless otherwise determined by the arbitrator.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court’s jurisdictional limits.

Class Action Waiver

As a condition of using the Platform, you agree that you may only bring claims against Infinity in your individual capacity. You expressly waive any right to participate in or initiate a class action, class arbitration, or other representative proceeding against Infinity. Claims and disputes must be resolved on an individual basis only, and the arbitrator shall have no authority to consolidate claims of multiple users. This waiver applies solely to users and does not restrict Infinity’s rights or remedies in pursuing claims.

Time Limitation to Bring Claims

Any claim or cause of action arising out of or related to your use of the Platform must be filed within one (1) year after the claim arises. Otherwise, such claim is permanently barred.

Injunctive Relief Carve-Out

Notwithstanding the arbitration provisions above, Infinity reserves the right to seek injunctive or equitable relief in court to protect its intellectual property rights, confidential information, or prevent misuse of the Platform.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified or interpreted as closely as possible to reflect the original intent, consistent with applicable law.

Entire Agreement

These Terms, along with any policies or agreements expressly referenced herein, constitute the entire agreement between you and Infinity regarding your use of the Platform. They supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the subject matter.

No Waiver

The failure of Infinity to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be expressly stated in writing by Infinity to be effective.

Force Majeure

Infinity shall not be liable or deemed in breach of these Terms for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, labor disputes, internet or power outages, acts of government, war, terrorism, or other force majeure events.

Amendments to Terms

Infinity may update or modify these Terms at any time. For material changes, Infinity will provide at least fifteen (15) days’ notice via email to the address associated with your User Account or through a prominent notice on the Platform before the changes take effect. Continued use of the Platform following the effective date of such changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must discontinue use of the Platform before the effective date.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Infinity’s prior written consent. Infinity may assign or transfer its rights and obligations at its discretion, including in connection with a merger, acquisition, or sale of assets.

Survival

Any provisions of these Terms that by their nature should survive termination (including but not limited to indemnification, limitation of liability, confidentiality, dispute resolution, payment obligations, and intellectual property rights) shall continue to apply even after your account is terminated.

No Partnership or Joint Venture

Nothing in these Terms, including the Agency Services provisions and the profit-share arrangement, creates a partnership, joint venture, employment relationship, or agency relationship (other than the limited authorization described in the Agency Services section) between you and Infinity. Each party is an independent contractor. Neither party has the authority to bind the other or to incur obligations on the other’s behalf, except as expressly provided in these Terms. The profit-share arrangement is a fee structure for services rendered and does not constitute shared ownership of any business, asset, or enterprise. Each party is solely responsible for its own tax obligations arising from this arrangement. Infinity may issue IRS Form 1099 (or successor form) to you reflecting your share of gross revenue received through Agency Services, and you are solely responsible for the accurate reporting and timely payment of all taxes owed on income generated through your Integrated Accounts.

Electronic Acceptance

By checking the “I have read and agree to the Terms of Service” box during the registration process, you confirm that you have read these Terms in their entirety and agree to be bound by them. This electronic acceptance constitutes a legally binding agreement with the same force and effect as a handwritten signature. Infinity records the date, time, and IP address associated with your acceptance for verification purposes. If you enroll in Agency Services, the completion of the Agency onboarding process (including connection of Integrated Accounts and provision of credentials) constitutes a separate electronic acceptance of the Agency Services provisions of these Terms, and Infinity records the date, time, and IP address of that enrollment separately.

Headings and Interpretation

Section headings in these Terms are for convenience only and shall not affect the interpretation or construction of the provisions.

Privacy and Data Use

Your use of the Platform is also subject to Infinity’s Privacy Policy. By using the Platform, you consent to Infinity’s collection, storage, and use of data as described in that policy. Infinity may process account and transactional data as necessary to provide its services, including Agency Services.

Data Retention and Deletion

Upon termination of your User Account, Infinity may retain certain data for legal, regulatory, or security purposes. User data not required for such purposes will be deleted within a reasonable period, consistent with Infinity’s Privacy Policy. For Agency Services users, Infinity will retain transaction records and profit-share calculations for a period of no less than three (3) years following termination for accounting and tax purposes.
